Terms of Sale and Services

Last updated: October 18, 2026.

1. Parties and scope

These terms apply to professional services sold internationally by Victovis LLC, unless valid special terms are agreed. Mandatory consumer rights and local rules prevail where applicable. Services may include web development, SEO/GEO, advertising, lead generation, teleprospecting, CRM, automation and AI voice agents.

2. Contract formation

A proposal or quote identifies scope, deliverables, milestones, currency, deadlines and external costs where applicable. An agreement forms upon written acceptance of the offer or order under its terms. Out-of-scope work requires agreement on additional price and timeline before performance.

3. Client cooperation

Clients must timely supply access, content, approvals and accurate information, and confirm they hold rights to supplied materials. Delays or expenses caused by missing inputs may warrant revised timelines and pre-agreed fees. Clients remain responsible for legality of supplied files, contact lists, instructions and commercial offers.

4. Fees, payment and late payment

Prices, taxes, due dates, deposits and subscriptions are specified in the accepted quote. Third-party software, ads, telephony, domains, hosting and supplier costs are included only if expressly stated. Invoices are due as agreed. Following notice and reasonable cure time, unpaid nonessential services may be suspended as permitted by law and contract. Interest or collection charges apply only where agreed and lawful.

5. Delivery, revisions and defects

Timelines depend on client cooperation and third parties. Included revision rounds are as specified in the offer; additional requests are separately priced. Clients should report documented nonconformities within the agreed review period; silence counts as acceptance only where contract and law allow. Defects attributable to Victovis are remedied under applicable contractual and statutory warranties.

6. SEO, advertising, outreach and AI: reasonable efforts

Unless a specific measurable undertaking is expressly agreed, Victovis uses reasonable professional efforts and does not guarantee a Google position, indexing, revenue, qualified-lead count, advertising performance, account approval, prospect response or error-free AI output. External platforms and algorithms change. Clients approve messaging, targeting, lists and workflows when allocated that responsibility by contract.

7. Campaign compliance and data

Each party complies with its own obligations concerning marketing, anti-spam, consent, telemarketing, call recording, advertising and personal-data protection. Clients warrant lawful grounds for lists and instructions they provide; Victovis retains its independent duties and may refuse manifestly unlawful campaigns. Controller/processor roles are defined in a data-processing addendum when needed.

8. Intellectual property and licenses

Unless expressly agreed, Victovis retains its existing methodologies, libraries, components, know-how, templates and general-purpose tools. Subject to full payment of amounts due, clients receive the expressly identified rights in custom deliverables; no implicit assignment of source code, AI models, third-party licenses or internal tools occurs. Third-party items remain subject to their own licenses. Temporary uses required for contract performance remain allowed as agreed.

9. Confidentiality

Each party safeguards the other's nonpublic business information and uses it only to perform the contract, excluding public, lawfully known, independently received or legally compelled disclosures. A separate nondisclosure agreement may specify further duties.

10. Warranty and limitation of liability

Victovis will perform services with reasonable professional care. To the extent lawful and enforceable for the particular relationship, Victovis's aggregate contractual liability for proven direct damages is limited to fees actually paid for the affected services in the twelve months before the event. Consequential losses, expected profits and decisions made without verification may be excluded to the same extent. No cap applies to fraud, intentional misconduct, nonwaivable rights or liabilities that cannot legally be limited.

11. Suspension, termination and force majeure

Cancellation rules appear in the applicable policy and quote. For material breach, a nonbreaching party may request cure within a reasonable period before termination where lawful. Events outside a party's reasonable control do not automatically discharge every duty; notice and mitigation remain applicable.

12. Governing law and disputes

For business contracts, subject to mandatory law and expressly agreed terms, parties first seek an amicable resolution by written notice to info@victovis.com. Applicable law and courts are determined by the specific agreement and conflict-of-laws rules; no exclusive venue is imposed here on international consumers.
